Houston Miata Club Bylaws

ARTICLE I

This organization shall be named the Houston Miata Club. 

ARTICLE II

OBJECTIVES

The Houston Miata Club is dedicated to the enjoyment of and the advancement of knowledge pertaining to the Mazda MX-5 Miata sports car and related MX-5 Miata products.  The Club encourages the exchange of information about the MX-5 Miata by providing a means of communication among MX-5 Miata owners and aficionados.

ARTICLE III

MEMBERSHIP

Membership in the Houston Miata Club is open to any individual regardless of race, color, sex, sexual orientation, creed, age, disability or national origin.  Membership is secured by submitting a properly filled out application form and dues paid to the Membership Chairperson.  Members shall be at least 18 years of age, possess a valid driver’s license and comply with Texas financial responsibility/liability insurance laws. Membership is based on payment of membership dues and each membership is allowed one (1) vote (for elections and business matters). Ownership of a MX-5 Miata is not required for membership.  However, it is hoped that you will at least want to gain knowledge and perhaps develop a desire to eventually own a MX5 Miata. 

ARTICLE IV

FINANCES

Dues shall be established by vote of the Board of Directors.  Changes to the dues structure shall also be made by vote of the Board of Directors. Both the Treasurer and the President shall have signatory authority for Club financial matters. However, only one signature is required when a check is written.

ARTICLE V

MEETINGS

Annual Meeting:  There shall be an annual meeting of the Club each November at a time and place selected by the Board of Directors.  The time and place of the annual meeting shall be announced to the Club members by placing a notice of the meeting on the Club calendar located on the Club website which is HoustonMiataClub.com .

General Meetings:  General meetings shall be held on the second Friday of each month or as announced to the Club members by placing a notice of the meeting on the Club calendar located on the Club website which is HoustonMiataClub.com. 

Other Meetings:  The Club shall meet not less than six times per year, including the annual meeting.  Members may meet at any time or place, provided that the Club President, Admin or Events Chairperson is notified and determines if the meeting is sanctioned or non-sanctioned by the Club.  A  meeting notice shall then be placed on the Club calendar located on the Club website which is HoustonMiataClub.com. 

ARTICLE VI

OFFICERS

The Houston Miata Club will indemnify and hold harmless each member of the Board of Directors, each Officer, and each Committee Chairperson for all legal actions taken on behalf of the Club.  The Houston Miata Club and its Board of Directors, each Officer, and each Committee Chairperson shall not be held responsible/liable for the actions of any of its members. All Board Members, Officers, and Committee Chairpersons shall be Club members in good standing.  The Vice-President shall become President if that office becomes vacant.  Other vacant offices shall be appointed by the President for the unexpired term.  Any officer who fails to perform the duties of the office may be recalled by a majority vote of the Board of Directors.

ARTICLE VII

NOMINATIONS AND ELECTIONS

The election of officers shall be at the annual meeting of the Club.  The Officers shall be elected by a simple majority vote of those present and voting – each Club member having one (1) vote.

Election Process:  Nominations can be made following the October general meeting and ending one week prior to the November (Annual) meeting.  Those nominated must be Club Members and have a willingness to devote time and effort to the Club. Nominations should be made via email to admin@HoustonMiataClub.com.  Any Club Member can make a nomination and can nominate themselves if they wish. Voting will be done by paper ballot.  Only Club Members will be allowed to vote. Votes will be counted at the Annual meeting, with the results announced prior to ending the meeting.  

ARTICLE VIII

ALCOHOL USAGE PROHIBITED

At any Club designated event or meeting the usage of alcohol is prohibited.  The Club shall have no responsibility/liability for alcohol related issues, accidents, or injuries.  

ARTICLE VIX

AMENDMENTS

Club By-Laws may be amended by a simple majority vote of the Board of Directors.
